Terms of Service

1. Eligibility

To use the Service as an affiliate, you must:

• Be at least 18 years old (or the age of legal majority in your jurisdiction);
• Have the legal capacity to enter into a binding contract;
• Provide accurate, current, and complete information during registration;
• Not be barred from receiving services under the laws of the United States, Ghana, or any other applicable jurisdiction, including export control and sanctions laws; and
• Not have been previously removed from the Sika Text network for fraud, abuse, or violation of these Terms.

Sika Text may, at its sole discretion, refuse to register any applicant or limit the number of accounts a single person or entity may hold.

2. Account Registration & Verification

When you apply to join the Sika Text affiliate network, you agree to provide your full legal name, email address, and active payment details (Mobile Money number and/or PayPal account) truthfully and accurately. Applications are reviewed manually and approval is at Sika Text's sole discretion; we are not obligated to approve any application or to explain a rejection.

Before your first payout, you may be required to submit government-issued identification (such as a Ghana Card, national ID, or passport) for verification purposes, and your registered mobile money account name must match your verified identity. We reserve the right to withhold, delay, or permanently deny payouts if we are unable to verify your identity or if we suspect your identity documents are fraudulent.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [Sika Support Email] if you suspect unauthorized use of your account.

3. The Affiliate Program

Sika Text operates an affiliate marketing network that allows approved affiliates to promote third-party digital products, courses, tools, and services listed in the Sika Text dashboard ("Products") in exchange for commissions on qualifying sales. Participation is free — Sika Text does not charge affiliates a signup fee, subscription fee, or minimum balance requirement.

Sika Text acts solely as a facilitator connecting affiliates with Product owners/merchants. We do not manufacture, own, or guarantee the Products listed on the platform unless expressly stated otherwise. Availability of any given Product, its commission rate, and its terms of sale may change or be discontinued at any time without notice.

4. Branded Links, Ref Links & Tracking

Upon approval, you may be issued a unique "branded" link (e.g., product.com/yourname) and/or a traditional referral link (e.g., product.com/?ref=yourname). These links are provided for your personal, non-transferable use to promote Products under this Agreement.

• You may not sell, rent, sublicense, transfer, or share your affiliate links or account credentials with any other person or entity.
• You may not alter, spoof, cloak, or disguise your links in a manner intended to mislead consumers about their destination.
• You may not use paid search advertising on your own name, "Sika Text," or any Product's brand/trademark terms without prior written consent, or engage in any bidding practice that misleads consumers or infringes a merchant's brand.
• Sales are attributed via cookie-based and/or server-side tracking. Sika Text's tracking records are the sole and final authority in determining whether a sale is attributed to your account. We are not responsible for lost commissions due to cleared cookies, ad blockers, browser privacy settings, or technical failures outside our reasonable control.

5. Commissions

Commission rates (starting at 40% and subject to Product-specific rates, performance bonuses, and referral bonuses as described on the Service) are set by Sika Text and/or the relevant Product owner and may vary by Product and may change prospectively at any time. Any change will apply to sales made after the change takes effect.

5.1 Pending Period

All commissions are placed into a pending status for approximately four (4) weeks from the date of sale. This hold exists to account for refunds, chargebacks, payment disputes, and fraud review. Commissions tied to a sale that is refunded, charged back, cancelled, or found to involve fraudulent or self-referral activity will be voided and will not be paid, whether discovered before or after the pending period ends.

5.2 Bonuses

Top-earner bonuses, referral bonuses, and other promotional incentives are offered at Sika Text's sole discretion, are subject to the specific terms published for each bonus program at the time it is offered, and may be modified, paused, or discontinued at any time.

5.3 Accuracy of Records

You may dispute a commission calculation by contacting us within thirty (30) days of the transaction in question. After that period, our recorded figures are considered final and binding absent demonstrable error.

6. Payments & Payout Methods

Approved commission balances are paid out via weekly payout runs, or upon request, using the payout method you have registered (PayPal for international affiliates; MTN Mobile Money or Vodafone Cash for Ghana-based affiliates, or such other methods as we may offer). Payouts are generally processed within 24–48 hours of a payout run but may be delayed due to banking, mobile network, holiday, or verification issues outside our control.

For affiliates paid via Mobile Money, commissions earned in USD are converted at a fixed rate of 10:1 (GHS to USD), which Sika Text may review and adjust from time to time in its sole discretion to reflect material shifts in market exchange rates. The rate in effect at the time of a given payout run applies to that payout.

You are responsible for ensuring your payout details (PayPal email, Mobile Money number, and registered name) are accurate and up to date. Sika Text is not liable for funds sent to an incorrect or outdated account resulting from your failure to update your details, and we are not obligated to reissue payment lost due to inaccurate payout information you provided.

We reserve the right to set minimum payout thresholds, delay a payout for further identity or fraud review, or withhold payment where we have a good-faith belief that a violation of these Terms has occurred.

7. Taxes

You are solely responsible for determining and paying any taxes, duties, or governmental charges applicable to the commissions and bonuses you earn under this Agreement, in your jurisdiction of residence and any other applicable jurisdiction. Sika Text does not withhold taxes on your behalf unless required to do so by law, and may request tax identification information (such as a W-9, W-8BEN, or local equivalent) where required for compliance or reporting purposes.

8. Prohibited Conduct

Without limiting any other provision of these Terms, you agree that you will not, and will not attempt to:

• Purchase Products through your own affiliate link, or arrange for family, friends, or associates to do so on your behalf ("self-referral");
• Create or control multiple affiliate accounts to inflate referral bonuses, commissions, or rankings;
• Use false, misleading, or deceptive claims about a Product, its results, endorsements, pricing, or availability;
• Send unsolicited bulk messages, spam email, spam SMS/WhatsApp blasts, or otherwise violate applicable anti-spam laws (including the U.S. CAN-SPAM Act and equivalent laws in Ghana or other jurisdictions) in your promotion of Products or Sika Text;
• Use bots, scripts, click farms, incentivized clicking, or any other automated or artificial means to generate clicks, leads, or sales;
• Impersonate Sika Text, a Product owner, or any other person or entity, or suggest an affiliation, sponsorship, or endorsement that does not exist;
• Promote Products through pornographic, hateful, violent, illegal, or otherwise objectionable content or platforms;
• Engage in "cookie stuffing," forced clicks, malware, adware, or any technique that generates tracking credit without a genuine, voluntary user action;
• Submit false, stolen, or altered identification documents; or
• Violate any applicable law or third-party right in connection with your use of the Service.

Violation of this section may result in immediate suspension, forfeiture of pending and approved commissions, permanent termination of your account, and, where applicable, referral to law enforcement.

9. Marketing, Content & Promotional Rules

You are solely responsible for all content you create or publish to promote Products (including social media posts, WhatsApp statuses, blog posts, emails, and videos). You agree that your promotional content will:

• Comply with applicable advertising and consumer protection laws, including disclosure requirements such as the U.S. FTC's guidance on endorsements and affiliate relationships (e.g., clearly disclosing "#ad" or "affiliate link" where required);
• Not make claims about a Product, its income potential, or results that are not authorized by the Product owner;
• Not infringe any third party's intellectual property, privacy, or publicity rights.

Sika Text may request that you remove or modify promotional content that it reasonably believes violates these Terms or applicable law.

10. Intellectual Property

The Service, including the Sika Text name, logo, dashboard, website design, and underlying software, is owned by Digital Media Group, Inc. and is protected by U.S. and international intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Sika Text-provided marketing assets (such as banners and pre-approved copy, if any) solely to promote Products through the affiliate program.

You may not use the Sika Text name, logo, or brand assets in a way that implies partnership, endorsement, or authority beyond your role as an independent affiliate, without our prior written consent. Product trademarks and copyrighted material remain the property of their respective owners, and your right to use them is limited to what each Product owner has authorized.

11. Third-Party Products & Merchants

Sika Text is an intermediary platform. We do not control, and are not responsible for, the quality, safety, legality, or performance of Products listed by third-party merchants, nor for any representations those merchants or their content make. Any dispute regarding a Product itself (e.g., refunds, product defects, customer service) is between the customer and the Product owner. Sika Text's role is limited to tracking referrals and facilitating commission payments as described in these Terms.

12. Suspension & Termination

You may close your account at any time by contacting us. Sika Text may suspend or terminate your account, access to the Service, and/or any pending or approved commission balance, immediately and without prior notice, if we reasonably believe you have:

• Violated these Terms, including the Prohibited Conduct section;
• Provided false or misleading information;
• Engaged in fraud, chargebacks, or abusive behavior; or
• Created legal, reputational, or financial risk for Sika Text, its merchants, or other users.

Upon termination for cause, you forfeit any right to unpaid pending or approved commissions associated with the violation, to the maximum extent permitted by law. Sections of these Terms that by their nature should survive termination (including Commissions accrued prior to termination for accounts not terminated for cause, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) will survive.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SIKA TEXT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT TRACKING WILL BE 100% ACCURATE, OR THAT ANY PARTICULAR LEVEL OF EARNINGS WILL RESULT FROM YOUR PARTICIPATION. TESTIMONIALS AND EXAMPLE EARNINGS DISPLAYED ON THE SERVICE ARE NOT GUARANTEES OF FUTURE RESULTS, AND INDIVIDUAL RESULTS VARY.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DIGITAL MEDIA GROUP, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SIKA TEXT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL COMMISSIONS ACTUALLY PAID TO YOU BY SIKA TEXT IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Digital Media Group, Inc., its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your breach of these Terms; (b) your promotional content or marketing practices; (c) your violation of any law or third-party right; or (d) any fraudulent, negligent, or wrongful act or omission by you in connection with the Service.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws principles, regardless of your country of residence.

16.1 Informal Resolution

Before filing a claim, you agree to first contact us at [Insert Support/Legal Email] and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

16.2 Arbitration Agreement

If a dispute is not resolved informally, you and Sika Text agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered under the rules of the American Arbitration Association (AAA), seated in Pinellas County, Florida, rather than in court, except that either party may bring an individual claim in small claims court where permitted, and either party may seek injunctive relief in court for actual or threatened infringement of intellectual property rights.

16.3 Class Action Waiver

YOU AND SIKA TEXT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

16.4 Venue

For any matter not subject to arbitration, you agree to submit to the exclusive personal jurisdiction and venue of the state and federal courts located in Pinellas County, Florida.

17. Privacy & Data

Our collection and use of personal information you provide through the Service, including identity verification documents and payment details, is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to such collection and use.

18. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you by email or through the dashboard. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may close your account.

19. General Provisions

Independent Contractor. You participate in the Sika Text affiliate program as an independent contractor, not as an employee, partner, joint venturer, or agent of Sika Text. Nothing in these Terms creates any employment, partnership, or agency relationship between you and Sika Text.

Entire Agreement. These Terms, together with our Privacy Policy and any Product-specific terms published on the Service, constitute the entire agreement between you and Sika Text regarding the Service and supersede any prior agreements.

Severability. If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Force Majeure. Sika Text will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including payment network outages, mobile network failures, government action, or acts of God.
